LLCs and Diversity Jurisdiction
The parties are reminded that a limited liability company (“LLC”) takes the citizenship of each of its members and not the place of incorporation and principal place of business. Wise v. Wachovia Sec., LLC, 450 F.3d 265, 267 (7th Cir. 2006). A complaint filed under diversity jurisdiction, 28 U.S.C. § 1332, must allege the full citizenship of an LLC party or the complaint will be dismissed. Both parties have a duty to ensure federal jurisdiction exists.
